KPN not to proceed with acquisition of Dutch cable service provider Caiway

Royal KPN NV (“KPN”) has decided, in consultation with Rabo Bouwfonds’ Communication Infrastructure Fund (“CIF”), not to proceed with the acquisition of CAIW Holding BV (“Caiway”) as the Dutch competition authority, NMa, has too many objections against the transaction.

Caiway provides television, broadband and telephony services in several municipalities in the Netherlands through the cable and fiber infrastructures of CIF and a number of regional cable operators.

The acquisition was first announced on May 2nd, 2011. KPN was to acquire the service provider activities and network lease contracts and would not acquire the passive infrastructure assets. KPN planned to provide “open access” to other operators and service providers, which fits KPN’s philosophy of “open access” cable, fiber and other telecom networks.

The completion of the acquisition was subject to approval by the NMa. The NMa has expressed its concern that KPN would get a dominant position in the areas that Caiway operates in.

KPN not acquiring Caiway does not affect its 2015 broadband market share target of more than 45%.
