Further to the announcement of 19 May 2009, KPN today announces that the company and its Chief Financial Officer (CFO), Marcel Smits, have agreed upon his resignation as statutory director and CFO effective 1 July 2009.

KPN and Mr Smits have agreed that his employment contract will terminate on 31 December 2009. In accordance with the Corporate Governance Code a termination payment will be made to Mr Smits of one year base salary. Mr Smits will retain his entitlement under the phantom share plan 2007, valued at a maximum of EUR 972,000.

Mr Smits joined KPN as CFO in September 2004. KPN would like to thank Marcel Smits for his contribution to the development of KPN in recent years.
